Definitions:
The Client: The company or individual requesting the services of The DM Lab.
The DM Lab: Primary designer/site owner & employees or affiliates.

General Engagement Terms

The DM Lab will undertake work only with a formal agreement obtained via email, telephone, mail, or fax. An ‘order’ constitutes a written or verbal contract between The DM Lab and the client, including agreements made through telephone and email. The DM Lab charges an hourly rate of £95.00 + VAT or a day rate of £900 + VAT.

Website Design and Development The DM Lab endeavors to deliver error-free websites and scripts but cannot be held liable for losses due to malfunctions. Websites, graphics, and programming code remain The DM Lab’s property until full payment. Copyright infringements caused by client-supplied materials are the client’s responsibility. Additional work on project briefs will be undertaken at The DM Lab’s discretion, with potential extra charges. If The DM Lab cannot proceed with a project due to lack of co-operation from the client with regards to supplying The DM Lab with requested content and responses to queries we cannot be held responsible for not meeting agreed deadlines.

The DM Lab – Source Files The DM Lab will supply proofs in appropriate formats, such as PDFs, at various project stages. Design work charges do not cover the release of copyright design source files (ID, PSD, Ai, PNG, or other source files or raw code). These files, if needed by the client for transfer to another design entity, will be subject to a separate quotation or ‘buy-out’ charge.

Copyrights and Trademarks Clients supplying text, images, or other data declare they hold appropriate copyright and/or trademark permissions. Any materials created by The DM Lab remain its property unless agreed otherwise in writing. Clients may request permission for additional usage of materials owned by The DM Lab, subject to potential charges. Software, code, plugins, or third-party materials used in projects remain the property of their creators, with any associated fees being the client’s responsibility.

Alterations and Licensing Alterations exceeding the estimated work or agreed scope will incur additional charges. The DM Lab is not responsible for amendments made by third parties. Designs, copywriting, drawings, ideas, or code created by The DM Lab are licensed for one-time use and cannot be modified or redistributed without written consent.

Charges for Other Services and Payment Terms Services exceeding the original scope are payable in full upon submission of the additional work. A non-refundable 50% deposit is required for all projects, with the final balance due upon project completion. Full payment signifies client satisfaction, with no refunds available.

Default and Remedies An account in default for 30 days or following a returned cheque will lead to the removal of The DM Lab’s materials from all systems. This does not absolve the client from the due payment.

Data Formats and Design Project Duration The DM Lab defines acceptable data formats for client submissions. The DM Lab is not responsible for the quality of images supplied or scanned from printed materials. Additional expenses may be incurred for actions like photography and image processing. Indications of a design project’s duration are estimations, and The DM Lab is not responsible for project over-runs.

Hosting, Optimisation, and Liability The DM Lab is not liable for losses caused by hosting service unavailability or interruptions. While employing ‘white hat techniques’ for optimization, no ranking guarantees are made. The DM Lab is not responsible for losses or damages due to deadline failures or disputes between site owners and their clients.

Complaints and Cancellation Rights Complaints should be initially raised directly and informally, with formal complaints made in writing. Cancellations require a 60-day written notice, with full payment due if within the contract period.

Privacy Policy and Security The DM Lab adheres to the Data Protection Act 1998, ensuring client privacy. The DM Lab employs high-quality security measures, and clients are advised to implement their own security systems.
